      Brown Disc Products Company, Inc. ("Registrant") has not completed its
Form 10-QSB for the fiscal quarter ended December 31, 1996 due to a delay in
finalizing accruals required for the preparation of its financial statements
for the three months ended December 31, 1996.  The Registrant anticipates that
its Report on Form 10-QSB for the period ended December 31, 1996 will be filed
on or before February 28, 1997.
