Item 2.03      Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

 

On June 11, 2019, the Company borrowed $220 million under its $1 billion revolving credit facility. The proceeds were used to repay $370 million of outstanding principal plus accrued and unpaid interest on its 2.875% Convertible Senior Notes due 2019, which reached maturity on June 15, 2019. 

 

Following this drawdown, the Company has $780 million of borrowing capacity remaining under its revolving credit facility.

 

A copy of the revolving facility credit agreement was filed as Exhibit 10.1 to the Company’s Current Report on Form 8-K dated June 6, 2017. A copy of the Second Amendment to Revolving Facility Credit Agreement was filed as Exhibit 10.1 to the Company’s Current Report on Form 8-K dated June 5, 2019.
