Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

 

On April 26, 2017, the Compensation Committee approved a cash award of $100,000 to Ms. Melanie M. Trent, Executive Vice President, General Counsel, Chief Administrative Officer and Company Secretary of Rowan Companies plc (the “Company”), in recognition of her many contributions over more than 11 years of service to the Company. Such cash award will be paid on or around April 30, 2017, upon Ms. Trent’s retirement from the Company.
