The Selling Stockholders were owners of an entity which was a franchisee of the Company and which merged with and into the Company in a transaction completed in October, 1994. Mr. Sack, as a director of the Company, must refrain from making sales for a period of 90 days subsequent to July 28, 1995, the date of the execution of the purchase agreement with the underwriters.
