Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(b) On February 8, 2006, Mr. Edgar D. Aronson resigned from the Board of Directors due to time constraints imposed on Mr. Aronson by his other professional obligations. His resignation was not due to any disputes or disagreements with the Board, the Company or its management.
