Item 1.01. Entry into a Material Definitive Agreement.

 

On January 26, 2005, Avatech Solutions, Inc. (the “Company”) entered into a Software Transfer Agreement (the “Agreement”) with Autodesk, Inc., a Delaware corporation and the Company’s principal supplier, under which the Company sold its Proof Positive software application and related intellectual property to Autodesk for approximately $1.9 million. Proof Positive, which the Company acquired in connection with the Company’s 2002 merger with PlanetCAD, Inc., is quality assurance software that checks computer aided design models developed using Autodesk Inventor against customer-defined standards. The Company has agreed not to develop competing software for two years from the date of the Agreement.
