T. Rowe Price Institutional International Growth Equity Fund

Dear Investor

We are pleased to report solid results for the six months ended April 30, 2011. The fund’s returns benefited from dollar weakness, and we never waivered from our disciplined stock selection process. In the past six months, we did a good job selecting stocks in Europe and Japan, but stock selection detracted from our results in the Pacific ex Japan region. We believe emerging economies offer strong growth prospects over the intermediate and longer term, although our overweight hurt our results in the current reporting period. The portfolio remains broadly diversified across regions, countries, and sectors and focused on companies with the best long-term growth prospects.

The Institutional International Growth Equity Fund generated a strong 10.90% return for the six months ended April 30, 2011. As shown in the Performance Comparison table, the fund trailed the Lipper International Large-Cap Growth Funds Average and the benchmark MSCI All Country World ex-U.S.A. Index. Our performance versus the MSCI index benefited from stock selection in the information technology and energy sectors. However, stock picking in the industrials and business services and the consumer sectors hurt our comparison with the benchmark. The fund’s underweight allocation in materials and financials also detracted from relative performance.

Portfolio Positioning

As often mentioned, we invest for the long term, and we are willing to hold stocks through difficult periods as long as I feel comfortable that the company will emerge well positioned on the other side. During this period, I persevered along those lines. We will hold onto companies where we have strong conviction and selectively add where I see compelling value and believe that margins will normalize and strong sales growth will continue.

While the past six months were favorable overall, they tested our resolve at times. For example, well-positioned banks in Brazil endured wage inflation and the imposition of higher reserve requirements, which, in the short term, has hurt earnings and stock prices. Because of our analysts’ conviction and my contrarian bent (buy ’em when nobody wants ’em), I have held on to those positions and, in selected cases, added to them, reducing the portfolio’s average cost per share. A similar situation exists in China, where higher commodity prices could not be passed along to consumers because of the government’s say-so. The result: Several truly great businesses have endured steep profit margin declines.

As I wrote in the last shareholder letter, government policy decisions are increasingly affecting my investment decisions, and your fund’s performance has been hurt by policies that went counter to our forecast. Government intervention is like Baskin-Robbins ice cream—it comes in many varieties. In Australia, higher taxes are taking a larger portion of earnings at resource companies. In the U.K., outsourcing companies have had their margins squeezed by austerity programs and budget slashing. While these conditions are generally just temporary headwinds—short-term issues that will not derail my long-term secular investment themes—we have added additional screening measures, and more than ever we are focused on investing in companies that are less exposed to these arbitrary measures.

As I write this letter, my investment decisions are being shaped by the following views:

• Economies and earnings are improving in most regions, but the pace is slowing.

• Interest rates have remained low in mature markets but have been rising in developing markets, which could prove to be a near-term headwind for emerging countries.

• Consumer spending in emerging markets should continue to be a strong global growth driver.

• The European debt crisis caused several countries to have their debt downgraded. This issue may not be resolved quickly and will slow growth for companies that operate in the region.

• Government policy is imposing new costs on businesses.

I work with a talented group of industry analysts and other T. Rowe Price portfolio managers, and I want to thank them for their efforts. We are bottom-up stock pickers and analyze every company using several criteria. We attempt to discern if the management team is effective in deploying its free cash flow. We also look to see if the company is taking market share and whether it has pricing power. Next, we analyze whether the stock, at current prices, offers a good risk/reward proposition over the next few years. Finally, we are more focused on how government policy could affect companies in various regions and sectors. Balancing the answers to these questions shapes our buying and selling decisions and, ultimately, the size of the positions in the portfolio.

Market Environment

As a whole, stock markets were strong over the last six months. Part of the reason that non-U.S. equities were good performers for U.S. investors was dollar weakness. This was especially the case in Europe, where about one-half of the region’s six-month return was due to currency appreciation. Nordic countries performed particularly well. Stock markets in the rest of Europe generated good gains even as the European debt crisis caused several countries to have their debt ratings downgraded. Generally, economic data from the euro zone remains positive, and European corporate profit growth has been robust.

It seems that investor concern about sovereign risk likely peaked at some point before this reporting period, which began in November 2010. The European periphery countries have since been volatile—a story of two steps forward and one step back—but on balance they were modestly positive. In the U.K., austerity measures seem to be working, although the economy remains somewhat weak. Earnings have been generally strong and have benefited from accelerating revenue growth and stable costs. Industrial companies in Europe generated exceptionally good results and were far stronger than we thought they would be six months ago.

Low interest rates and the paltry returns on bonds in developed markets favored a shift to stocks. While investors in mature markets appear unconcerned about higher interest rates, inflation and rising interest rates in emerging markets were a primary focus of concern. In Brazil, for example, earnings and revenue growth has been fine but as interest rates went up, stock earnings multiples compressed, which especially hurt the financials sector. Growth in Brazil has been as strong as anywhere in the world, but investors have significantly trimmed stock valuations. In Asia’s emerging markets, where most countries have resumed growing strongly, inflation—specifically food and energy prices—is the number one concern. In response, many Asian countries implemented anti-inflation measures, including tighter bank credit and higher interest rates to balance strong growth while fighting inflation. This year, India, China, South Korea, Taiwan, Thailand, Indonesia, and the Philippines all raised interest rates. India has been among the most aggressive countries in Asia in battling inflation, having raised interest rates eight times over the past year. Thus far, the interest rate hikes have failed to quell concerns that prices will keep rising and eventually crimp economic growth.

Geopolitical events contributed to volatility during the period. Antigovernment protests and violence across the Middle East and North Africa drove crude oil prices to more than $100 per barrel in March. Although the sharp rise was largely due to fears about possible supply disruptions, it added to volatility and risk aversion in general. The massive earthquake and tsunami in Japan in March, along with the resulting nuclear crisis, led to a brief but severe global sell-off as investors assessed the impact of the disaster on the world economy. However, at the end of the six-month reporting period, Pacific Rim stock markets were broadly higher. While the natural disaster in Japan was a large human tragedy, we do not believe it will prove to be as much of a long-term economic setback for Japan as many feared.

Portfolio Review

Domestic consumption in emerging markets was our best investment theme last year, but it hurt our results during this six-month reporting period. We were overweight in emerging markets that performed poorly, and it detracted from our comparison with the benchmark. However, we continue to believe that emerging markets can generate superior growth for the next three to five years, and possibly longer. From a sector perspective, we added to our allocations in the industrials and business services, financials, and consumer discretionary sectors over the past six months. Concurrently, we trimmed our allocation to every other sector. Energy and information technology, our two poorest-performing sectors in the prior six-month period, generated the best contributions in the six-month period ended April 30, 2011.

Four of the fund’s 10 best contributors came from the energy sector. WorleyParsons (Australia), an engineering and construction services company, and oil services giant Schlumberger (U.S.) were standout performers. Both are focused on the oil and liquid natural gas segment. We own them because we believe that oil prices will trend higher and that the companies in the energy sector will start to spend more on production. Each company has an excellent track record and an astute management team. (Please refer to the portfolio of investments for a complete list of holdings and the amount each represents in the portfolio.)

Royal Dutch Shell (U.K.) and Suncor Energy (Canada) also rallied in the oil, gas, and consumable fuels segment. Shell remained among the portfolio’s largest positions. We like the company’s prospects as it is now benefiting from investments made over the past several years. It has invested in the world’s largest gas-to-liquids plant in Qatar, which the company believes will eventually produce about 3 billion barrels of oil equivalent from a natural gas field. We think that Shell will benefit from a recovery in refining margins, and its new projects can continue to generate consistent long-term revenue and earnings growth.

Suncor, an oil sands producer, posted strong gains. The company needs high oil prices in order to be profitable—when oil prices are below $80, its extraction process becomes somewhat less viable. The stock was a poor performer in the prior reporting period due to lower production, a fire at one of its plants, and an acquisition that investors viewed unfavorably for a time because it diluted production growth. However, in the last six months, the company has significantly improved its cash flow, and management has reduced costs aggressively after the merger. Suncor is now benefiting from improved production and higher oil prices. We like the firm’s longer-term prospects and have maintained our position in the stock.

Among our emerging markets energy holdings, we were disappointed with the returns for Reliance Industries (India) and Brazil’s Petroleo Brasileiro (Petrobras). We added to our position in Reliance, an exploration and production company that fell due to investor concerns about several investments in non-core operations. In general, its management team has been astute at allocating capital in its core business, and the money it deployed to other operations is small relative to the size of the company. In addition to investments in U.S. shale oil, the company has gas production capacity in India that it can utilize if and when it can get better pricing from the Indian government. Petrobras generated moderate gains, but its stock underperformed after issuing significantly more shares to bolster capital spending. The company continues to execute well and now has a stronger balance sheet, but the additional stock has diluted the company’s earnings per share.


Information technology was our second-best sector contributor for the last six months. Chinese Internet-related companies Sina, Baidu, and Tencent were strong performers, and we took some profits off the table. We sold much of our stake in Sina a bit prematurely as its price continued to climb. We still like Baidu and Tencent, but the stocks trade at high earnings multiples, and while both are growing rapidly, we felt that after a strong advance there was a less favorable risk/reward trade-off. In the semiconductor segment, Samsung Electronics (South Korea) was a good performer in a rapidly growing market, and we added to our position. The company is reasonably priced, and we like its long-term prospects. Accenture (U.S.) was another top contributor and looks to be well positioned in consulting and information technology outsourcing, areas that should do well later in the economic cycle. The company is recovering nicely after the downturn and is benefiting from increased global merger and acquisition activity.

We eliminated our positions in Konica Minolta (Japan) and Hon Hai Precision (Taiwan) during the period. Both stocks performed poorly. We invested in Konica because we thought that the copier market would flourish as a later-cycle business, when companies increased their capital spending. The company seemed to be well positioned in Europe, but the market has been price sensitive and weaker than our original forecast. It also appears that the growth of the tablet/iPad market is impinging on the copier market. One example is that more sales presentations are being done electronically rather than on paper. We thought that at this point in the economic recovery Konica’s business would improve significantly, but it has remained poor, and we decided to cut our losses. We eliminated Hon Hai, the world’s largest electronic manufacturing services provider, because we became worried about the industry’s faltering demand. The company is doing a good job of containing costs, but we believe that its business will remain softer than our earlier estimates for a while longer.

Our consumer discretionary holdings produced strong results for the past six months, and the sector remained the portfolio’s second-largest allocation at the end of the reporting period. Switzerland-based Compagniè Financière Richemont, one of the world’s premier luxury goods companies with brands including Cartier and Van Cleef & Arpels, surged during the period. Sales of the company’s high-end jewelry, watches, writing instruments, and clothing benefited as stock markets rallied and sentiment about future economic growth improved. Among our media stocks, British Sky Broadcasting and WPP (U.K.) were solid contributors. The former advanced thanks to a takeover bid from News Corp., while WPP, a leader in marketing communications, continued to post solid results. We favor companies that can generate stable recurring revenues.

The sector also had several of the fund’s largest detractors. Rising oil prices and the turmoil in the Middle East and North Africa hurt Carnival (U.S.), but we remain positive on the company’s longer-term prospects and added to our position during the period. We think the cruise business will benefit from improving demand in 2012, and there are few competitors in this solid-margin business. We were likely a bit early in buying Parkson Retail (China). While its revenues are expanding nicely, and we think the retailer will continue to post good growth for the next several years, earnings have been slower to make similar strides. However, the company is a good fit for our longer-term thesis that consumer spending will continue to accelerate in emerging markets.

Investment Outlook

We believe that China, India, and Brazil will continue to generate reasonable growth with less inflation 12 months from now. We think that earnings will grow and multiples will expand when investors start to feel better about the prospects for inflation. If we are right, those markets could recoup much of their recent underperformance. Over the next year, we think emerging markets will continue to experience heightened volatility but outperform the developed markets in Europe and Japan.

Developed non-U.S. markets are likely to generate mixed performance, and we would be surprised if the returns over the next six months are as good as they were over the last six months. The mature markets look somewhat challenging, particularly in Europe, as interest rates trend higher and growth moderates somewhat. Currency gains were a tailwind in this period, but going forward they will likely be mixed—a headwind for the euro and yen and a slight tailwind in Asia. Overall, valuations have increased with market gains but they still appear reasonable. We will continue to identify and invest in what we believe are the most attractive companies for long-term investors while maintaining a broadly diversified portfolio across sectors and countries.

T. Rowe Price Institutional International Funds, Inc. (the corporation), is registered under the Investment Company Act of 1940 (the 1940 Act). The Institutional International Growth Equity Fund (the fund), a diversified, open-end management investment company, is one portfolio established by the corporation. The fund commenced operations on September 7, 1989. The fund seeks long-term growth of capital through investments primarily in the common stocks of established, non-U.S. companies.

NOTE 1 - SIGNIFICANT ACCOUNTING POLICIES

Basis of Preparation The accompanying financial statements were prepared in accordance with accounting principles generally accepted in the United States of America (GAAP), which require the use of estimates made by management. Management believes that estimates and valuations are appropriate; however, actual results may differ from those estimates, and the valuations reflected in the accompanying financial statements may differ from the value ultimately realized upon sale or maturity.

Investment Transactions, Investment Income, and Distributions Income and expenses are recorded on the accrual basis. Premiums and discounts on debt securities are amortized for financial reporting purposes. Dividends received from mutual fund investments are reflected as dividend income; capital gain distributions are reflected as realized gain/loss. Dividend income and capital gain distributions are recorded on the ex-dividend date. Income tax-related interest and penalties, if incurred, would be recorded as income tax expense. Investment transactions are accounted for on the trade date. Realized gains and losses are reported on the identified cost basis. Distributions to shareholders are recorded on the ex-dividend date. Income distributions are declared and paid annually. Capital gain distributions, if any, are generally declared and paid by the fund annually.

Currency Translation Assets, including investments, and liabilities denominated in foreign currencies are translated into U.S. dollar values each day at the prevailing exchange rate, using the mean of the bid and asked prices of such currencies against U.S. dollars as quoted by a major bank. Purchases and sales of securities, income, and expenses are translated into U.S. dollars at the prevailing exchange rate on the date of the transaction. The effect of changes in foreign currency exchange rates on realized and unrealized security gains and losses is reflected as a component of security gains and losses.

Redemption Fees A 2% fee is assessed on redemptions of fund shares held for 90 days or less to deter short-term trading and to protect the interests of long-term shareholders. Redemption fees are withheld from proceeds that shareholders receive from the sale or exchange of fund shares. The fees are paid to the fund and are recorded as an increase to paid-in capital. The fees may cause the redemption price per share to differ from the net asset value per share.

NOTE 2 - VALUATION

The fund’s financial instruments are reported at fair value as defined by GAAP. The fund determines the values of its assets and liabilities and computes its net asset value per share at the close of the New York Stock Exchange (NYSE), normally 4 p.m. ET, each day that the NYSE is open for business.

Valuation Methods Equity securities listed or regularly traded on a securities exchange or in the over-the-counter (OTC) market are valued at the last quoted sale price or, for certain markets, the official closing price at the time the valuations are made, except for OTC Bulletin Board securities, which are valued at the mean of the latest bid and asked prices. A security that is listed or traded on more than one exchange is valued at the quotation on the exchange determined to be the primary market for such security. Listed securities not traded on a particular day are valued at the mean of the latest bid and asked prices for domestic securities and the last quoted sale price for international securities. Debt securities with remaining maturities of less than one year at the time of acquisition generally use amortized cost in local currency to approximate fair value. However, if amortized cost is deemed not to reflect fair value or the fund holds a significant amount of such securities with remaining maturities of more than 60 days, the securities are valued at prices furnished by dealers who make markets in such securities or by an independent pricing service.

Investments in mutual funds are valued at the mutual fund’s closing net asset value per share on the day of valuation.

Other investments, including restricted securities, and those financial instruments for which the above valuation procedures are inappropriate or are deemed not to reflect fair value are stated at fair value as determined in good faith by the T. Rowe Price Valuation Committee, established by the fund’s Board of Directors.

For valuation purposes, the last quoted prices of non-U.S. equity securities may be adjusted under the circumstances described below. If the fund determines that developments between the close of a foreign market and the close of the NYSE will, in its judgment, materially affect the value of some or all of its portfolio securities, the fund will adjust the previous closing prices to reflect what it believes to be the fair value of the securities as of the close of the NYSE. In deciding whether it is necessary to adjust closing prices to reflect fair value, the fund reviews a variety of factors, including developments in foreign markets, the performance of U.S. securities markets, and the performance of instruments trading in U.S. markets that represent foreign securities and baskets of foreign securities. A fund may also fair value securities in other situations, such as when a particular foreign market is closed but the fund is open. The fund uses outside pricing services to provide it with closing prices and information to evaluate and/or adjust those prices. The fund cannot predict how often it will use closing prices and how often it will determine it necessary to adjust those prices to reflect fair value. As a means of evaluating its security valuation process, the fund routinely compares closing prices, the next day’s opening prices in the same markets, and adjusted prices.

Valuation Inputs Various inputs are used to determine the value of the fund’s financial instruments. These inputs are summarized in the three broad levels listed below:

Level 1 – quoted prices in active markets for identical financial instruments

Level 2 – observable inputs other than Level 1 quoted prices (including, but not limited to, quoted prices for similar financial instruments, interest rates, prepayment speeds, and credit risk)

Level 3 – unobservable inputs

Observable inputs are those based on market data obtained from sources independent of the fund, and unobservable inputs reflect the fund’s own assumptions based on the best information available. The input levels are not necessarily an indication of the risk or liquidity associated with financial instruments at that level. For example, non-U.S. equity securities actively traded in foreign markets generally are reflected in Level 2 despite the availability of closing prices because the fund evaluates and determines whether those closing prices reflect fair value at the close of the NYSE or require adjustment, as described above. The following table summarizes the fund’s financial instruments, based on the inputs used to determine their values on April 30, 2011:


NOTE 3 - OTHER INVESTMENT TRANSACTIONS

Consistent with its investment objective, the fund engages in the following practices to manage exposure to certain risks and/or to enhance performance. The investment objective, policies, program, and risk factors of the fund are described more fully in the fund’s prospectus and Statement of Additional Information.

Emerging Markets At April 30, 2011, approximately 28% of the fund’s net assets were invested, either directly or through investments in T. Rowe Price institutional funds, in securities of companies located in emerging markets, securities issued by governments of emerging market countries, and/or securities denominated in or linked to the currencies of emerging market countries. Emerging market securities are often subject to greater price volatility, less liquidity, and higher rates of inflation than U.S. securities. In addition, emerging markets may be subject to greater political, economic and social uncertainty, and differing regulatory environments that may potentially impact the fund’s ability to buy or sell certain securities or repatriate proceeds to U.S. dollars.

Repurchase Agreements All repurchase agreements are fully collateralized by U.S. government securities. Collateral is in the possession of the fund’s custodian or, for tri-party agreements, the custodian designated by the agreement. Collateral is evaluated daily to ensure that its market value exceeds the delivery value of the repurchase agreements at maturity. Although risk is mitigated by the collateral, the fund could experience a delay in recovering its value and a possible loss of income or value if the counterparty fails to perform in accordance with the terms of the agreement.

Securities Lending The fund lends its securities to approved brokers to earn additional income. It receives as collateral cash and U.S. government securities valued at 102% to 105% of the value of the securities on loan. Cash collateral is invested by the fund’s lending agent(s) in accordance with investment guidelines approved by management. Although risk is mitigated by the collateral, the fund could experience a delay in recovering its securities and a possible loss of income or value if the borrower fails to return the securities or if collateral investments decline in value. Securities lending revenue recognized by the fund consists of earnings on invested collateral and borrowing fees, net of any rebates to the borrower and compensation to the lending agent. In accordance with GAAP, investments made with cash collateral are reflected in the accompanying financial statements, but collateral received in the form of securities are not. On April 30, 2011, the value of loaned securities was $2,350,000 and cash collateral investments totaled $2,466,000.

Other Purchases and sales of portfolio securities other than short-term securities aggregated $25,021,000 and $21,579,000, respectively, for the six months ended April 30, 2011.

NOTE 4 - FEDERAL INCOME TAXES

No provision for federal income taxes is required since the fund intends to continue to qualify as a regulated investment company under Subchapter M of the Internal Revenue Code and distribute to shareholders all of its taxable income and gains. Distributions determined in accordance with federal income tax regulations may differ in amount or character from net investment income and realized gains for financial reporting purposes. Financial reporting records are adjusted for permanent book/tax differences to reflect tax character but are not adjusted for temporary differences. The amount and character of tax-basis distributions and composition of net assets are finalized at fiscal year-end; accordingly, tax-basis balances have not been determined as of the date of this report.

The fund intends to retain realized gains to the extent of available capital loss carryforwards. As of October 31, 2010, the fund had $35,675,000 of unused capital loss carryforwards, which expire: $21,796,000 in fiscal 2011 and $13,879,000 in fiscal 2017. Additionally, approximately $2,506,000 of the fund’s unused capital loss carryforwards are subject to certain limitations on amount and/or timing of use related to an ownership change.

At April 30, 2011, the cost of investments for federal income tax purposes was $60,244,000. Net unrealized gain aggregated $21,109,000 at period-end, of which $21,542,000 related to appreciated investments and $433,000 related to depreciated investments.

NOTE 5 - FOREIGN TAXES

The fund is subject to foreign income taxes imposed by certain countries in which it invests. Acquisition of certain foreign currencies related to security transactions are also subject to tax. Additionally, capital gains realized by the fund upon disposition of securities issued in or by certain foreign countries are subject to capital gains tax imposed by those countries. All taxes are computed in accordance with the applicable foreign tax law, and, to the extent permitted, capital losses are used to offset capital gains. Taxes attributable to income are accrued by the fund as a reduction of income. Taxes incurred on the purchase of foreign currencies are recorded as realized loss on foreign currency transactions. Current and deferred tax expense attributable to net capital gains is reflected as a component of realized and/or change in unrealized gain/loss on securities in the accompanying financial statements. At April 30, 2011, the fund had no deferred tax liability attributable to foreign securities and $4,012,000 of foreign capital loss carryforwards, including $3,518,000 that expire in 2012, $39,000 that expire in 2013, $35,000 that expire in 2016, $217,000 that expire in 2017, $134,000 that expire in 2018, and $69,000 that expire in 2019.

NOTE 6 - RELATED PARTY TRANSACTIONS

The fund is managed by T. Rowe Price Associates, Inc. (Price Associates), a wholly owned subsidiary of T. Rowe Price Group, Inc. (Price Group). Price Associates has entered into a subadvisory agreement with T. Rowe Price International Ltd., a wholly owned subsidiary of Price Associates, to provide investment advisory services to the fund; the subadvisory agreement provides that Price Associates may pay the subadvisor up to 60% of the management fee that Price Associates receives from the fund. The fund was previously managed by T. Rowe Price International, Inc. (Price International), which was merged into its parent company, Price Associates, effective at the close of business on December 31, 2010. Thereafter, Price Associates assumed responsibility for all of Price International’s existing investment management contracts, and Price International ceased all further operations. The corporate reorganization was designed to simplify Price Group’s corporate structure related to its international business and was intended to result in no material changes in the nature, quality, level, or cost of services provided to the T. Rowe Price funds.

The investment management agreement between the fund and Price Associates provides for an annual investment management fee equal to 0.70% of the fund’s average daily net assets. The fee is computed daily and paid monthly.

The fund is also subject to a contractual expense limitation through February 29, 2012. During the limitation period, Price Associates is required to waive its management fee and reimburse the fund for any expenses, excluding interest, taxes, brokerage commissions, and extraordinary expenses that would otherwise cause the fund’s ratio of annualized total expenses to average net assets (expense ratio) to exceed its expense limitation of 0.75%. The fund is required to repay Price Associates for expenses previously reimbursed and management fees waived to the extent the fund’s net assets have grown or expenses have declined sufficiently to allow repayment without causing the fund’s expense ratio to exceed its expense limitation. However, no repayment will be made more than three years after the date of any reimbursement or waiver or later than February 28, 2014. Pursuant to this agreement, management fees in the amount of $133,000 were waived during the six months ended April 30, 2011. Including these amounts, management fees waived in the amount of $387,000 remain subject to repayment at April 30, 2011.

In addition, the fund has entered into service agreements with Price Associates and a wholly owned subsidiary of Price Associates (collectively, Price). Price Associates computes the daily share price and provides certain other administrative services to the fund. T. Rowe Price Services, Inc., provides shareholder and administrative services in its capacity as the fund’s transfer and dividend disbursing agent. For the six months ended April 30, 2011, expenses incurred pursuant to these service agreements were $60,000 for Price Associates and less than $1,000 for T. Rowe Price Services, Inc. The total amount payable at period-end pursuant to these service agreements is reflected as Due to Affiliates in the accompanying financial statements.

The fund may invest in the T. Rowe Price Reserve Investment Fund and the T. Rowe Price Government Reserve Investment Fund (collectively, the T. Rowe Price Reserve Investment Funds), open-end management investment companies managed by Price Associates and considered affiliates of the fund. The T. Rowe Price Reserve Investment Funds are offered as cash management options to mutual funds, trusts, and other accounts managed by Price Associates and/or its affiliates and are not available for direct purchase by members of the public. The T. Rowe Price Reserve Investment Funds pay no investment management fees.

Approval of Investment Management Agreement 

On March 9, 2011, the fund’s Board of Directors (Board) unanimously approved the continuation of the investment advisory contract (Contract) between the fund and its investment advisor, T. Rowe Price Associates, Inc. (Advisor), as well as the investment subadvisory contracts (Subadvisory Contracts) that the Advisor has entered into with T. Rowe Price International Ltd and T. Rowe Price International Ltd – Tokyo Branch (Subadvisors). The Board considered a variety of factors in connection with its review of the Contract and Subadvisory Contracts, also taking into account information provided by the Advisor during the course of the year, as discussed below:

Services Provided by the Advisor
The Board considered the nature, quality, and extent of the services provided to the fund by the Advisor and Subadvisors. These services included, but were not limited to, management of the fund’s portfolio and a variety of related activities, as well as financial and administrative services, reporting, and communications. The Board also reviewed the background and experience of the Advisor’s and Subadvisors’ senior management teams and investment personnel involved in the management of the fund. The Board noted that a restructuring involving the Advisor and certain of its affiliated investment advisors led to a restatement of the fund’s investment advisory contract and new investment subadvisory contracts, effective at the close of business on December 31, 2010. This restructuring, which resulted in T. Rowe Price Associates, Inc., becoming the fund’s new investment advisor and T. Rowe Price International Ltd and T. Rowe Price International Ltd – Tokyo Branch becoming the fund’s new investment subadvisors, had been determined by the Board at a meeting in October 2010 not to diminish the nature, quality, or level of services provided to the fund or to materially change the manner in which advisory services were to be provided. The Board concluded that it was satisfied with the nature, quality, and extent of the services provided by the Advisor and Subadvisors.

Investment Performance of the Fund
The Board reviewed the fund’s average annual total returns over the 1-, 3-, 5-, and 10-year periods, as well as the fund’s year-by-year returns, and compared these returns with a wide variety of previously agreed upon comparable performance measures and market data, including those supplied by Lipper and Morningstar, which are independent providers of mutual fund data. On the basis of this evaluation and the Board’s ongoing review of investment results, and factoring in the relative market conditions during certain of the performance periods, the Board concluded that the fund’s performance was satisfactory.

Costs, Benefits, Profits, and Economies of Scale
The Board reviewed detailed information regarding the revenues received by the Advisor under the Contract and other benefits that the Advisor (and its affiliates, including the Subadvisors) may have realized from its relationship with the fund, including research received under “soft dollar” agreements and commission-sharing arrangements with broker-dealers. The Board considered that the Advisor and Subadvisors may receive some benefit from soft-dollar arrangements pursuant to which research is received from broker-dealers that execute the applicable fund’s portfolio transactions. The Board also received information on the estimated costs incurred and profits realized by the Advisor and its affiliates (including the Subadvisors) from advising T. Rowe Price mutual funds. The Board did not review information regarding profits realized from managing the fund in particular because the fund had not achieved sufficient scale in terms of portfolio asset size to produce meaningful profit margin percentages. Under the Contract, the fund pays a fee to the Advisor based on the fund’s average daily net assets. Under the Subadvisory Contracts, the Advisor may pay either Subadvisor up to 60% of the advisory fee that the Advisor receives from the fund. The Board concluded that the Advisor’s profits were reasonable in light of the services provided to the fund.

The Board also considered whether the fund or other funds benefit under the fee levels set forth in the Contract from any economies of scale realized by the Advisor. The Board concluded that, based on the profitability data it reviewed, the advisory fee structure for the fund continued to provide for a reasonable sharing of benefits from any economies of scale with the fund’s investors.

Fees
The Board reviewed the fund’s management fee rate, operating expenses, and total expense ratio and compared them with fees and expenses of other comparable funds based on information and data supplied by Lipper. The information provided to the Board indicated that the fund’s management fee rate (after including reductions of the management fee rate that resulted from applicable fee waivers or expenses paid by the Adviser) and total expense ratio were below the median for comparable funds. The Board also reviewed the fee schedules for institutional accounts of the Advisor and its affiliates with similar mandates. Management provided the Board with information about the Advisor’s responsibilities and services provided to institutional account clients, which are more limited than its responsibilities for the fund and other T. Rowe Price mutual funds that it advises, and showing that the Advisor performs significant additional services and assumes greater risk for the fund and other T. Rowe Price mutual funds that it advises than it does for institutional account clients. On the basis of the information provided, the Board concluded that the fees paid by the fund under the Contract were reasonable.

Approval of the Contract
As noted, the Board approved the continuation of the Contract and Subadvisory Contracts. No single factor was considered in isolation or to be determinative to the decision. Rather, the Board was assisted by the advice of independent legal counsel and concluded, in light of a weighting and balancing of all factors considered, that it was in the best interests of the fund to approve the continuation of the Contract and the Subadvisory Contracts (including the fees to be charged for services thereunder).
