On June 1, 2011, Exponent announced that its Board of Directors authorized up to an additional $35 million for the repurchase of Exponent’s common stock.  Exponent may pursue such repurchases from time to time in the open market or privately negotiated transactions in compliance with Securities and Exchange Commission’s Rule 10b-18.  A copy of the press release announcing the repurchase authorization is attached hereto as exhibit 99.1 and is incorporated herein by reference.

Exponent Adds $35 Million to Stock Repurchase Program
 
MENLO PARK, Calif., June 1, 2011 - Exponent, Inc. (Nasdaq: EXPO) announced today that its Board of Directors has authorized up to an additional $35 million for the repurchase of Exponent’s common stock in the open market or privately negotiated transactions in compliance with Securities and Exchange Commission’s Rule 10b-18.
 
“This action reflects our confidence in the future cash flow of the Company, as well as our ongoing commitment to build long-term shareholder value,” commented Paul Johnston, President and Chief Executive Officer.
