(the "Company") issued a press release attached as Exhibit 99 hereto that announced that the Company's subsidiary, Venetian Casino Resort, LLC ("VCR") had commenced a lawsuit against Lehrer McGovern Bovis, Inc. ("LMB"), the construction manager for the Venetian Casino Resort, and its parent corporation, Bovis, Inc. ("Bovis"). The lawsuit relates to a breach of contract by LMB of its obligations under the construction management agreement for the Venetian Casino Resort and a breach of contract by Bovis of its obligations under a guaranty of the construction management agreement. The suit seeks total damages in excess of $50 million. According to Venetian executives, the suit stems from a breach of contract caused by Bovis' failure to properly perform under its construction management agreement with the Venice-themed mega-resort. Included in The Venetian's claim is Bovis' failure to fully pay trade contractors and vendors as Bovis committed to in the Construction Management Agreement provision that clearly states that work charges in excess of the Final Guaranteed Maximum Price "shall be paid by Construction Manager."
