State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

As a result of the third quarter review of its financial results, the Registrant has reviewed its accounting for certain retention payments that were made during  the second and third quarters of 2005. Originally, these payments were fully expensed in the respective quarter; however, because these payments have 12-month future service requirement provisions, the Registrant will be making an adjustment to amortize the retention payment expense over the 12-month service period, thus reducing expense in both the second and third quarters. As a result, the Registrant will amend its Form 10-Q for the quarter ended June 30, 2005. While it may have been possible to file the textual portion of the Registrants Form 10-Q report for the quarter ended September 30, 2005, the Registrant believes that filing an incomplete Form 10-Q Report may be inconsistent with public interest and protection of investors.
