Item 1.01 Entry Into A Material Definitive Agreement.

 

Third Amendment to Forbearance Agreement

 

EnerJex Resources, Inc., a Nevada corporation (the "Company") , EnerJex Kansas, Inc., DD Energy, Inc., Black Sable Energy, LLC, Black Raven Energy, Inc., Adena, LLC, and Working Interest, LLC (together with the Company, the "Borrowers") are parties to a Forbearance Agreement dated April 4, 2016, as amended (collectively, the "Forbearance Agreement") with Texas Capital Bank, N.A. (the "Bank"), as Administrative Agent, L/C Issuer and Bank (as those terms are defined in the Forbearance Agreement), and other financial institutions and banks that may become a party to the Forbearance Agreement from time to time.

 

On July 29, 2016, the Borrowers and the Bank entered into a Third Amendment to Forbearance Agreement (the "Third Amendment"), whereby the parties have agreed to extend the Forbearance Period to October 1, 2016.

 

The description herein of the Third Amendment is qualified in its entirety, and the terms are incorporated herein, by reference to the Third Amendment, the form of which is filed as Exhibits 10.1 hereto.
