Item 8.01 Other Events.

On December 1, 2009 Hawk Corporation issued a press release announcing that it has repurchased $10.0 million of its 8.75% Senior Notes. Hawk reserves the right to repurchase additional notes through open market purchases, privately negotiated transactions or otherwise. As of December 1, 2009, Hawk has $77.1 million in total debt outstanding. A copy of this press release has been posted to Hawk’s website www.hawkcorp.com and a copy is also set forth in Exhibit 99.1.
