Because the Foundation is a tax-exempt, charitable foundation, Mr. Harbert does not have a pecuniary interest in, and is not a beneficial owner of, the shares held by the Foundation.  The sale of shares by the Foundation is being reported again on this Amendment to Mr. Harbert&apos;s May 23, 2003 Form 4 solely to gain access to the EDGAR online filing system.   The shares held by the Foundation have been excluded from the amount of securities beneficially owned by Mr. Harbert.</footnote>
