Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

 

(d) On February 9, 2010, the Board of Directors of Plum Creek Timber Company, Inc. appointed Mr. Marc F. Racicot to serve as a member of the Board and as a member of the Audit Committee. Mr. Racicot’s appointment to the Board and to the Audit Committee will be effective March 1, 2010. As of the date of this filing, the company is unaware of any information requiring disclosure under Item 404(a) of Regulation S-K. The company will amend this Current Report within four business days of becoming aware of any such information.

 

(e) On February 8, 2010, the Compensation Committee of the Board of Directors authorized the payment of annual incentive cash bonus awards under the terms of the company’s Annual Incentive Plan. The following table sets forth the cash payment for the 2009 incentive bonus to the company’s named executive officers listed in its 2009 definitive proxy statement filed with the Securities and Exchange Commission on March 25, 2009:

Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

 

(a) On February 9, 2010, the Board of Directors amended Article II, Section 9 of the company’s Amended and Restated By-Laws effective immediately. The amendment changes the required vote for items of business to be approved at stockholder meetings, other than director elections or other matters with a legally specified vote standard.

Previously, the by-laws required a majority of shares present and entitled to vote at the meeting of stockholders in order for an item of business to be approved. The by-law amendment changes this vote requirement to mirror the default voting standard for corporations incorporated in the State of Delaware, which requires approval of a majority of shares present and entitled to vote on the specific item in question. Under this new voting standard abstentions will have the same effect as a vote against the item of business and broker non-votes, if any, will have no effect on the outcome of the vote. A copy of the by-law amendment is attached hereto as Exhibit 3.1 and is incorporated herein by reference.
