  (d) As disclosed in the Current Report on Form 8-K of Plum Creek Timber Company, Inc. (the “Company”) dated October 31, 2006 and filed on November 6, 2006, the Company’s Board of Directors appointed John F. Morgan, Sr. to serve as a member of the Board for a term expiring at the next annual meeting of stockholders. At the time of the report, Mr. Morgan had not been appointed to a committee of the Board.

On February 6, 2007, the Board appointed Mr. Morgan to serve as a member of the Board’s Audit Committee.
