Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

Plum Creek Timber Company, Inc. (the “Company”) was notified on December 1, 2005 by Michael J. Covey, an Executive Vice President of the Company, that he will resign from the Company effective December 2, 2005 to accept the position of President and Chief Executive Officer with the Potlatch Corporation.

The Company has initiated a formal process, including both an internal and external search, to permanently fill the position. In the interim, Brent Stinnett, Vice President of the Company’s Southwest Region, will oversee the Company's timberland operations.
