Item 5. Other Events

     On December 21, 2001,  Neurogen  Corporation ("the Company") entered into a
commercial term mortgage loan agreement  secured by the Company's  facilities at
15 and 35 Northeast Industrial Road,  Branford,  CT, whereby the lender provided
total gross proceeds of $17.5 million. The Company expects to use these proceeds
for general corporate  purposes.  The loan is repayable in monthly  installments
over 10 years at a rate  equal to the LIBOR rate plus 250 basis  points,  with a
final balloon payment of all remaining principal due and payable on the maturity
date of December 21, 2011.
