Exchange Commission ('Commission') with respect to the registration by Medical
Technology and Innovations, Inc. of 1,100,000 shares of Common Stock, without
par value, of the Company (the 'Shares'). The shares are covered by the
Registration Statement, and may be sold pursuant to the Registration Statement
and the Agreement. In our capacity as counsel to the Company, we have examined
the original, certified, conformed, photostat or other copies of the Company's
Articles of Incorporation, Bylaws, the Agreement and various other corporate
