PART III NARRATIVE
State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
In connection with the preparation of the companys fiscal year 2012 Annual Report on Form 10-K, the company has determined that additional analysis and review is necessary with respect to certain components of the provision for income taxes primarily related to current and deferred tax balances to ensure the accuracy and completeness of the provision for income taxes included in its financial statements. In addition, in connection with the previously announced evaluation of strategic alternatives for the company being conducted by its independent special committee of the board of directors, the company, at the request of the special committee, believes it is necessary to take measures in advance of the filing to ensure the integrity of the process being conducted by the special committee is appropriately safeguarded, to confirm that no parties that have expressed an interest in participating in the special committees process are being provided with access to any confidential information regarding the company or the process except as authorized by the special committee, and that no action has been taken in respect of the process that would reasonably be expected to have a material adverse effect on the companys disclosure controls and procedures or internal control over financial reporting.
