Compensatory Arrangements of Certain Officers.
On November 7, 2017 Fuel Tech, Inc. (the “Company”) appointed James M. Pach to serve in a temporary capacity as Acting Treasurer and Principal Financial Officer, with each such appointment effective immediately. These appointments were made in consideration of David S. Collins, who has served as the Company’s Senior Vice President, Treasurer and Chief Financial Officer since August 2010, taking a leave of absence for health reasons.
Since joining the Company in January 2016, Mr. Pach, age 37, has served as its Assistant Treasurer and Corporate Controller. Prior to that time, Mr. Pach served as Assistant Corporate Controller for Century Aluminum Company (CAC) since 2015, Senior Corporate Accounting Manager for CAC since 2013, Assurance Senior Manager for PricewaterhouseCoopers LLP (PwC) since 2012, and Assurance Manager for PwC since 2010.
Mr. Pach is a party to an employment agreement with the Company effective as of January 4, 2016. The agreement is for an indefinite term, for disclosure and assignment of inventions to the Company, protection of the Company’s proprietary data, covenants against certain competition and arbitration of disputes. The employment agreement is for a term of employment “at will” and does not provide for severance payments. In connection with his appointment as Acting Treasurer and Principal Financial Officer on November 7, 2017, Mr. Pach’s annualized salary on that date (prorated for the remainder of 2017), became $181,500.
