(e)          As previously disclosed in a Current Report on Form 8-K filed with the Securities and Exchange Commission on May 8, 2012, on May 4, 2012, the stockholders of Bridge Bancorp, Inc. (the “Company”) approved the Company’s 2012 Stock-Based Incentive Plan.  The plan provides for the grant of stock-based and other incentive awards to officers, employees and directors of the Company. A description of the material terms of the plan is contained in the Company’s definitive proxy statement for the Annual Meeting of Shareholders filed with the Securities and Exchange Commission on April 2, 2012.  The plan is incorporated by reference as Exhibit 10.1 to this Current Report.
