Item 8.01 Other Events.

On May 27, 2021, the Federal Agricultural Mortgage Corporation (“Farmer Mac”) completed the issuance of 5,000,000 shares of 4.875% Non-Cumulative Preferred Stock, Series G (the “Series G Preferred Stock”), in an exempt public offering pursuant to an offering circular, as previously disclosed. The sale of the Series G Preferred Stock was made pursuant to the terms of an underwriting agreement, dated May 20, 2021, between Farmer Mac and RBC Capital Markets, LLC, as representative of the underwriters named therein.
