Item 5.      Other Events and Required FD Disclosure.

                On July 29, 2004, the Board of Directors of Rock of Ages Corporation declared a quarterly cash dividend of $.02 for each share of common stock, payable on September 15, 2004 to stockholders of record at the close of business on August 16, 2004.

Item 12.      Results of Operations and Financial Condition.

                On July 30, 2004, Rock of Ages Corporation issued a press release announcing its financial results for the fiscal quarter ended June 30, 2004. The press release is being furnished to the Securities and Exchange Commission pursuant to Item 12 of Form 8-K and is attached hereto as Exhibit 99.1.
