* Grant to reporting person of option to buy Class B common stock under the Rock of Ages 1994 Stock Plan in a transaction exempt under Rule16b-3. The option becomes exercisable in 20% increments commencing on the date of grant.

**Shares of Class B Common Stock are convertible on a share-for-share basis into Class A Common Stock at any time at the option of the holder, and convert automatically upon a transfer to any person other than a Permitted Transferee (as defined in the Issuer's Certificate of Incorporation).
