Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On April 6, 2006, the Board of Directors of Harvest Natural Resources, Inc. (the "Company") amended the bylaws of the Company. The amendment changes Article 2.2 to provide that the number of directors of the Company can be changed by resolution adopted by the board of directors. The amendment is attached to this Report as Exhibit 3.1.
