    <remarks>1.  Mr. Ewing directly owns 41,077 shares of common stock.  On April 7, 2004 Mr. Ewing received a distribution of 1500 shares of stock of Cherokee Inc. from Ewing &amp; Partners, and Mr. Ewing is in turn gifting these 1500 shares of stock of Cherokee Inc.  to the Dallas Museum of Natural History located in Dallas, Texas.

2.  Ewing &amp; Partners, a Texas general partnership, after distributing the 1500 shares shown above, holds directly 84,839 shares of common stock of Cherokee Inc.  Mr. Ewing is the managing partner of Ewing &amp; Partners.

3.  Endurance Partners, L.P. and Endurance Partners, (Q.P.), L.P. (the &quot;Funds&quot;) hold directly 8,294 and 25,106, respectively, shares of common stock of Cherokee Inc.  Mr. Ewing is the sole member of Ewing Asset Management, L.L.C., which is the general partner of Endurance General Partners, L.P., which in turn is the general partner of the Funds.  Mr. Ewing disclaims beneficial ownership of these shares except to the extent of his pecuniary interest therein, and this report shall not be deemed an admission that Mr. Ewing is the beneficial owner of these shares for the purposes of Section 16 of the Securities and Exchange Act of 1934, as amended, or for any other purpose.</remarks>
