COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS
On May 6, 2015, David H. deVilliers, Jr., the Vice President of
FRP Holdings, Inc. (the "Company") and President of FRP Development
Corp., was appointed President of the Company. The position of President
was formerly held by Thompson S. Baker II, the current Chief Executive
Officer of the Company. Mr. Baker will remain the Chief Executive Officer
of the Company. Mr. deVilliers served as a director of the Company from
1993 to 2004 and has served as the Vice President of the Company since
1989.
