Item 8.01 Other Events

 

On April 2, 2010, TriMas Corporation (the “Company”) and AMB Vernon Industrial Park, LLC (“AMB”) entered into an Amendment to Purchase and Sale Agreement (“Agreement”) pursuant to which the Company agreed to sell and AMB agreed to buy certain industrial real property, personal property and intangible property related to the discontinued operations of the Company’s business located in Vernon, California (the “Property”). The Agreement provides for a purchase price of $13,000,000 payable in cash at closing and that the Company and AMB shall indemnify each other regarding certain matters relating to environmental conditions that may exist in relation to the Property. The transaction concluded on April 6, 2010.
