Item 2.02  Results of Operations and Financial Condition.

 

During the question and answer session of TriMas Corporation’s (the “Corporation”) second quarter 2009 earnings call held on August 4, 2009, the Corporation indicated that the available basket under its bank credit agreement to repurchase its 9 7/8% senior subordinated notes increased from $75 million to $125 million if the Corporation achieved a leverage ratio of 3.75x (as calculated and reported at each quarter end).  The actual ratio required to be achieved for the increase in the available basket is 3.25x.
