Item 2.01        Completion of Acquisition or Disposition of Assets.

On November 3, 2015, RLI Corp. (“RLI”) completed the previously-announced sale of its subsidiary RLI Indemnity Company (“RLIC”) to Clear Blue Financial Holdings, LLC.  RLIC was sold as a ‘shell’ transaction, with net sale proceeds of $7.5 million.
