Item 5.07              Submission of Matters to a Vote of Security Holders.

On May 1, 2014, RLI Corp. (the “Company”) held its annual meeting of stockholders (“Annual Meeting”). Matters voted upon at the Annual Meeting were (1) election of directors, (2) ratification of the selection of KPMG LLP as the Company’s independent registered public accounting firm for the current fiscal year, and (3) approval of a non-binding, advisory resolution on the compensation of the Company’s named executive officers.

On May 1, 2014, the Company announced that its Board of Directors (“Board”) approved a quarterly dividend on its common stock of $0.18 per share.  The dividend is payable on June 20, 2014, to shareholders of record as of May 30, 2014.  Furnished as Exhibit 99.1 and incorporated herein by reference is the press release issued by the Company.

RLI Increases Dividend for 39th Consecutive Year

PEORIA, ILLINOIS, May 1, 2014, RLI Corp. (NYSE:RLI) — The RLI Corp. board of directors has declared a second quarter regular cash dividend of $0.18 per share, a $0.01 increase over the prior quarter on a split-adjusted basis. The dividend is payable on June 20, 2014, to shareholders of record as of May 30, 2014.

RLI has paid dividends for 152 consecutive quarters and increased dividends in each of the last 39 years.

The company’s dividend yield would be 1.67%, based on the $0.72 indicated annual dividend and yesterday’s closing stock price of $43.06.
