On May 14, 2018, Rite Aid Corporation (the “Company”) issued a press release announcing that the management teams of each of the Company and Albertsons Companies, Inc. (“Albertsons”) will hold a joint analyst presentation on May 15, 2018 to discuss the previously announced proposed merger between the Company and Albertsons pursuant to the Agreement and Plan of Merger, dated as of February 18, 2018 (the “Merger Agreement”), by and among Albertsons, the Company, Ranch Acquisition Corp. and Ranch Acquisition II LLC.  A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated in this Item 8.01 by reference.

BOISE, Idaho and CAMP HILL, Pa. — May 14, 2018 — Albertsons Companies, Inc. one of the nation’s largest grocery retailers, and Rite Aid Corporation (NYSE:RAD), one of the nation’s leading drugstore chains, announced today that they will host a joint analyst event on May 15, 2018. The management teams of both companies will discuss the strategic and financial benefits of the proposed merger transaction between Albertsons Cos. and Rite Aid.

 

As previously announced on February 20, 2018, Albertsons Cos. and Rite Aid announced a definitive merger agreement under which privately held Albertsons Cos. will merge with publicly traded Rite Aid.

 

In-person attendance is by invitation only; however, the event will be webcast live beginning at 9 a.m. until approximately 2 p.m. ET.
