Item 1.01Entry into a Material Definitive Agreement. 

 

As previously disclosed, on May 21, 2020, Westwater Resources, Inc. (the “Company”) entered into a purchase agreement (the “Purchase Agreement”) with Lincoln Park Capital Fund, LLC (“Lincoln Park”), pursuant to which Lincoln Park committed to purchase up to $12.0 million of the Company’s common stock.

 

On May 29, 2020, the Company entered into an amendment to the Purchase Agreement (the “Amendment”) with Lincoln Park, which changed the definition of “Base Price” from $1.838 per share to $2.0777 per share, in either case subject to adjustment for any applicable reorganization, recapitalization, non-cash dividend, stock split, reverse stock split or other similar transaction that occurs on or after the date of the Purchase Agreement.
