This opinion is being furnished in accordance with the requirements of Item 601(b)(5) of Regulation S-K under the Act. As such counsel, we have examined originals, certified copies or copies otherwise identified to us as being true copies of the originals, of the following: a. The Underwriting Agreement; b. The Senior Debt Securities Indenture, dated as of February 6, 2002 (the "Base Indenture"), between the Company and State Street Bank and Trust Company of California, N.A. ("State Street Bank"), as trustee (the "Trustee"), as supplemented by the First Supplemental Indenture, dated as of February 6, 2002 (the Base Indenture, as so supplemented, the "Indenture"); c.
