Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On October 27, 2008, Carl Baranowski resigned as Chief Executive Officer of Brooke Corporation. He remains Senior Vice President and General Counsel of Brooke Corporation and President of Brooke Bancshares, Inc., direct parent of Generations Bank.

On October 30, 2008, Travis W. Vrbas resigned as Chief Financial Officer of Brooke Corporation.





Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 30, 2008, Brooke Corporation received notice of delisting of its common stock from NASDAQ. This delisting was made under Marketplace Rules 4300, 4450(f) and IM-4300.
