Item 8.01 Other Events.

 

On May 15, 2023, Republic First Bancorp, Inc. (the “Company”) issued a press release (the “Press Release”) announcing that, as a result of recent strategic initiatives and other considerations, the Board of Directors of the Company has decided to pause the search for additional accredited investors to participate in the capital raise announced on March 10, 2023 until market conditions stabilize. A copy of the Press Release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
