Item 5.02          Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On May 11, 2022, Theodore J. Flocco, Jr., a director of Republic First Bancorp, Inc. (the “Company”), passed away. Mr. Flocco had served as a director of the Company since 2008. He also served on the Audit Committee and Compensation Committee of the Company’s board of directors (the “Board”).

 

On May 13, 2022, the Board appointed Harry D. Madonna, Esq. to serve as Interim Chairman of the Board, replacing Vernon W. Hill, II, effective immediately. Mr. Hill remains a director on the Board and the Company’s Chief Executive Officer.

 

Also on May 13, 2022, Harry D. Madonna, Esq. notified the Company of his decision to resign from his position as Corporate Secretary of the Company, effective immediately. The Board appointed Lisa R. Jacobs, Esq. the same day to serve as Corporate Secretary of the Company, effective immediately.

 

Item 8.01         Other Events.

 

On May 13, 2022, the Company issued a press release in connection with the appointment of the Interim Chairman of the Board and Corporate Secretary. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
