Item 8.01          Other Events.

 

On March 11, 2022, the board of directors (the “Board”) of Republic First Bancorp, Inc. (the “Company”) received a written proposal from George E. Norcross, III, Gregory B. Braca, Philip A. Norcross, Avery Conner Capital Trust and the trustees named therein to make an initial direct investment in the Company (the “Proposal”). The Board will review the Proposal with its independent advisors, including Keefe, Bruyette & Woods, Inc., which is a leading independent investment bank focusing exclusively on the financial sector. Once the Board has concluded its review, it will respond to the Proposal.

 

Shareholders are not required to take any action at this time.

The Company intends to file a proxy statement and a proxy card with the Securities and Exchange Commission (the “SEC”) in connection with the Company’s 2022 Annual Meeting of Shareholders (the “2022 Annual Meeting”) and, in connection therewith, the Company, certain of its directors and executive officers will be participants in the solicitation of proxies from the Company’s shareholders in connection with such meeting.
