Item 1.01 Entry into a Material Definitive Agreement.

The Registrant’s indirect subsidiary, LEAF Financial Corporation, and its wholly owned subsidiary, LEAF Funding, Inc., are borrowers pursuant to a $150 million credit agreement dated as of July 31, 2006 with National City Bank.  The parties thereto have entered into an amendment dated as of September 30, 2009 that extends the maturity date of the credit agreement until November 30, 2009.  In addition, the amendment reduces the aggregate commitment of the lenders from $150 million to $142.5 million on October 15, 2009 and then to $135 million on November 15, 2009.  The Registrant is not an obligor or a guarantor under the credit agreement.
