Item 7.01 Regulation FD Disclosure.

In connection with Resource America, Inc.'s (the “Company”) stock repurchase program, on May 12, 2014, the Company agreed to repurchase 175,000 of its common shares at a price per share of $8.80.  The repurchase was completed on May 16, 2014 and represents approximately 0.9% of the Company's total outstanding common shares.
