The Registrant is unable to file its Annual Report on Form 11-K for the Resource America, Inc. Investment Savings Plan for the period ended September 30, 2006 (the “11-K”) within the prescribed time period without unreasonable effort or expense. The Registrant had unanticipated delays in the collection and compilation of certain information required to be included in the 11-K. The Registrant will file the 11-K on or before the fifteenth calendar day following the prescribed due date.

As a result of the spinoff of a subsidiary, Atlas America, Inc. (“Atlas”) on June 30, 2005, employees of Atlas and their related plan assets of approximately $12.4 million were transferred to a new plan sponsored by Atlas thus significantly reducing the Company’s plan assets to approximately $6.6 million at September 30, 2005. As a result, during the period ended September 30, 2006, there are significant decreases in the Plan's investment income, contributions and deductions as compared to the prior fiscal year.
