Item 4.01  Changes in Registrant’s Certifying Accountant.

Effective March 16, 2007, Crowe Chizek and Company LLC (“Crowe Chizek”) has been engaged as the independent registered public accounting firm of Tyco International (US) Inc., Retirement Savings and Investment Plan I, II, III, IV and V (the “Plans”). Crowe Chizek will audit and report on the Financial Statements of the Plans for the year ended December 31, 2006. During the years ended December 31, 2006 and 2005 and through the latest interim period, the Company did not consult with Crowe Chizek regarding any matter requiring disclosure under item 304(A)(2)(i) and (ii) of Regulation S-K.
