Item 2.02.    Results of Operations and Financial Condition.

On July 23, 2024, Johnson Controls International plc (the “Company”) issued a press release announcing certain preliminary financial information for the fiscal 2024 third quarter ended June 30, 2024 and certain other information.

A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.

Item 7.01.    Regulation FD Disclosure.

On July 23, 2024, the Company entered into a Stock and Asset Purchase Agreement (the “Purchase Agreement”) to sell its residential and light commercial HVAC business to Robert Bosch GmbH. On July 23, 2024, the Company issued a press release announcing the entry into the Purchase Agreement and certain preliminary financial information. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
