Amendment Description	This Post-Effective Amendment No. 1 (this “Amendment”) to the Registration Statement on Form S-1 (Commission File No. 333-265583) (the “Original Registration Statement”), of GeoVax Labs, Inc. (the “Company”) is being filed pursuant to the undertakings in the Original Registration Statement to update and supplement the information contained in the Original Registration Statement, which was originally declared effective by the Securities and Exchange Commission on June 24, 2022.   The Original Registration Statement, as amended by this Amendment, pertains to the registration (i) 9,090,910 shares of Common Stock issuable upon the exercise of pre-funded warrants issued in a private placement in May 2022 (the “Private Placement”), (ii) 12,121,214 shares of Common Stock issuable upon the exercise of preferred investment options issued in the Private Placement at an exercise price of $1.65 per share, (iii) 128,000 shares of Common Stock issuable upon the exercise of a warrant issued in a public offering in September 2020 at an exercise price of $5.50 per share and (iv) 72,000 shares of Common Stock issuable upon the exercise of a warrant issued in a public offering in February 2021 at an exercise price of $6.875 per share.   For the convenience of the reader, this Amendment sets forth the Original Registration Statement in its entirety, as amended by this Amendment.   No additional securities are being registered under this Amendment. All applicable registration fees were paid in connection with the initial filing of the Original Registration Statement.
