·     Unlike ordinary debt securities, the securities do not pay interest or repay a fixed amount of principal at maturity. Instead, the securities provide for a Payment at Maturity that may be greater than, equal to or less than the Principal Amount, depending on the performance of the Reference Asset from its Initial Level to its Final Level.

 

The Payment at Maturity will be calculated as follows:

 

o If the level of the Reference Asset increases from the Initial Level to the Final Level:

 

You will receive the Principal Amount plus [120% to 130%] (to be determined on the Pricing Date) participation in the upside performance of the Reference Asset

 

o If the level of the Reference Asset does not change, or decreases but the decrease is not more than 30% from the Initial Level to the Final Level:

 

You will be repaid the Principal Amount (zero return)

 

o If the level of the Reference Asset decreases by more than 30% from the Initial Level to the Final Level:

 

You will have full downside exposure to the decrease in the level of the Reference Asset from the Initial Level, and you will lose more than 30%, and possibly all, of the Principal Amount.

·     All payments on the securities are subject to the credit risk of HSBC, and you will have no ability to pursue the issuers of any securities included in the Reference Asset for payment; if HSBC defaults on its obligations, you could lose some or all of your investment

How the Payment at Maturity Is Calculated

 

On the Maturity Date, for each security you hold, we will pay you the Payment at Maturity, which is an amount in cash, calculated as follows:

 

·If the Final Level is greater than the Initial Level, you will receive a cash payment on the Maturity Date, per $1,000 Principal Amount, equal to:

 

 $1,000 + ($1,000 x Reference Return x Upside Participation Rate).

 

·If the Final Level is less than or equal to the Initial level but greater than or equal to the Threshold Level, you will receive $1,000 per $1,000 Principal Amount (zero return).

 

·If the Final Level is less than the Threshold Level, you will receive a cash payment on the Maturity Date, per $1,000 Principal Amount, calculated as follows:

 

$1,000 + ($1,000 × Reference Return)

 

If the Final Level is less than the Threshold Level, you will lose more than 30%, and possibly all, of the Principal Amount.
