On September 28, 2011, Party A, which had previously submitted to Kinetic Concepts, Inc. (the Company) a non-binding offer letter (as described in the definitive proxy statement filed by the Company with the Securities and Exchange Commission on September 26, 2011), notified the Company that it no longer intended to make a definitive acquisition proposal to acquire the Company. As a result, no other Acquisition Proposal (as defined in the Agreement and Plan of Merger, dated as of July 12, 2011, by and among the Company, Chiron Holdings, Inc. (Parent) and Chiron Merger Sub, Inc. (Merger Sub)) is currently outstanding. The Company therefore anticipates consummating the merger with Parent and Merger Sub at the previously announced acquisition price of $68.50 per share, pending shareholder approval, regulatory approval and other conditions to closing described in the Companys definitive proxy statement filed September 26, 2011.
