On March 22, 2006, the Reporting Person and his wife entered into an agreement pursuant to which the Reporting Person agreed that his wife owns 925,000 shares as her sole and separate property and the Reporting Person's wife agreed that the Reporting Person owns 925,000 shares as his sole and separate property. All of these shares were previously owned as community property.  Subsequently, the Reporting Person contributed his 925,000 shares into the James R. Leininger 2006 Grantor Retained Annuity Trust, for which he serves as trustee, and his wife contributed her 925,000 shares to the Cecelia Anne Leininger 2006 Grantor Retained Annuity Trust, for which she serves as trustee.</footnote>
        <footnote id="F2">These shares were previously reported as beneficially owned directly by the Reporting Person. On September 28, 2006, the Reporting Person and his wife entered into an agreement pursuant to which the Reporting Person agreed that his wife owns 1,000,000 shares as her sole and separate property and the Reporting Person's wife agreed that the Reporting Person owns 1,000,000 shares as his sole and separate property. All of these shares were previously owned as community property.  Subsequently, the Reporting Person contributed his 1,000,000 shares into the James R. Leininger 2006 Grantor Retained Annuity Trust No. 2, for which he serves as trustee, and his wife contributed her 1,000,000 shares to the Cecelia Anne Leininger 2006 Grantor Retained Annuity Trust No. 2, for which she serves as trustee.</footnote>
