Item 8.01 Other Events.

On October 17, 2006, M-Flex issued a news release announcing that it has filed a lawsuit against WBL Corporation Limited seeking declaratory and injunctive relief and asking the court to direct WBL to vote its M-Flex shares against an offer to acquire MFS Technology Ltd. A copy of this news release is attached hereto as Exhibit 99.1.
