Item 1.01 Entry into a Material Definitive Agreement

On December 5, 2005, the Company’s Board of Directors approved entering into restricted stock unit agreements under its 2004 Stock Incentive Plan with certain of its employees, including its executive officers. The agreements cover grants of restricted stock units that will vest in four equal annual installments.
