    <remarks>Pursuant to prior company policy, the award and the stock option agreement, the recipient of an option grant under the company's 2005 LTIP was not considered to be the beneficial owner thereof unless and until a stock option agreement was executed and delivered by the recipient and the company, which was typically sometime after the date the option was approved by the company's Board of Director or Compensation Committee. In all cases, the options were priced on the date the grant was so approved.  The company has amended its policies and optionees will be deemed to be the beneficial owners of the option grants pursuant to the terms of such grants.
